Acceptance of Terms

By accessing or using any service provided by Indian Innovative Housing Pvt Ltd (IIHPL), including GrahBandhan, NeBeX, Pac Energy, and related products, you agree to be bound by these Terms of Service and our Privacy Policy.

If you are using our services on behalf of an organisation (housing society, company, or other entity), you represent that you have authority to bind that organisation to these terms.

If you do not agree to these terms, do not use our services.

Description of Services

IIHPL provides the following services:

GrahBandhan

A smart society management SaaS platform for housing societies in India. Features include resident management, financial tracking, WhatsApp integration, AI-powered Amra chatbot, maintenance management, and AGM compliance tools.

NeBeX (Never-ending Business Excellence)

An AI-powered company builder platform where users submit business ideas for AI evaluation and development. IIHPL's AI agents assess, build, market, and help operate SaaS businesses on behalf of users under a revenue-sharing arrangement.

Pac Energy

Solar energy advisory services, calculators, and project facilitation for residential and commercial solar installations in India.

Safal Amrakunj Portal

A dedicated society management portal for Safal Amrakunj housing society and similar deployments.

Eligibility & Accounts

• You must be at least 18 years old to create an account or use our services
• You must provide accurate, complete, and current information when registering
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately at privacy@iihpl.com of any unauthorized access to your account
• One person or entity may not maintain more than one free account
• Accounts are non-transferable without prior written consent from IIHPL

IIHPL reserves the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion.

Subscriptions & Payments

GrahBandhan Pricing

NeBeX Pricing

• Idea Evaluation: ₹499 one-time, non-refundable (AI evaluation begins immediately)
• Revenue Share: IIHPL retains 25% of all revenue generated + applicable GST
• Revenue share agreement is signed digitally before development begins

Payment Terms

• All payments are processed via Razorpay — a PCI-DSS compliant payment gateway
• Prices are in Indian Rupees (₹) and inclusive of GST unless stated otherwise
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date
• We reserve the right to change pricing with 30 days advance notice to existing subscribers

Acceptable Use

You agree to use our services only for lawful purposes. You must NOT:

• Use our services to violate any applicable Indian or international law or regulation
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of our systems
• Use automated tools to scrape, crawl, or extract data from our platforms
• Transmit viruses, malware, or any other malicious code
• Harass, abuse, or harm other users or IIHPL staff
• Use our AI services to generate illegal, harmful, or defamatory content
• Resell or sublicense our services without prior written consent
• Attempt to reverse-engineer, decompile, or extract our proprietary algorithms
• Use our services for activities that compete directly with IIHPL without prior agreement

Violation of these terms may result in immediate suspension or termination of your account without refund.

Intellectual Property

IIHPL's Property

All software, algorithms, AI models, branding, trademarks, designs, and content created by IIHPL — including GrahBandhan, NeBeX, AXIOM AI system, Amra chatbot, and all associated technology — are the exclusive intellectual property of Indian Innovative Housing Pvt Ltd.

Your Content

You retain ownership of content you submit to our platforms (society data, business ideas, documents). By submitting content, you grant IIHPL a limited, non-exclusive licence to use that content solely to provide and improve our services to you.

NeBeX Intellectual Property

For businesses built through NeBeX: The business idea, brand, and customer relationships belong to you. The underlying technology infrastructure, AI systems, and platform code built by IIHPL remain IIHPL's property. Specific IP arrangements are defined in the NeBeX Revenue Share Agreement signed before development.

AI Services & NeBeX Specific Terms

AI-Generated Content

Our services use artificial intelligence including large language models (OpenAI, Anthropic, local models) to generate content, evaluations, code, and business materials. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inconsistencies
• IIHPL does not guarantee the accuracy or completeness of AI outputs
• AI evaluations are advisory in nature — not financial, legal, or professional advice
• You should independently verify any AI-generated information before acting on it

NeBeX Revenue Share

• IIHPL takes 25% of gross revenue generated by your NeBeX business, plus applicable GST
• Revenue reporting is your responsibility — monthly statements must be submitted
• IIHPL may audit revenue figures with 7 days notice
• The revenue share arrangement is detailed in a separate legally binding agreement
• IIHPL reserves the right to pause or discontinue AI services for non-payment

Data & Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

• We collect and process data as described in our Privacy Policy
• Society data uploaded to GrahBandhan remains your property
• We maintain backups but are not liable for data loss due to force majeure events
• Upon account termination, you may request export of your data within 30 days
• After 90 days of termination, your data may be permanently deleted

Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Uninterrupted, error-free, or completely secure service
• Accuracy or completeness of any information provided
• Results from using our AI services

IIHPL does not provide financial, legal, tax, or investment advice. Any content that appears to be such advice is for informational purposes only.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, IIHPL and its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from use of or inability to use our services
• Any third-party conduct or content

In no event shall IIHPL's total liability to you exceed the amount you paid to IIHPL in the three months preceding the claim, or ₹5,000, whichever is greater.

Termination

By You

You may terminate your account at any time by contacting us at privacy@iihpl.com. Termination does not entitle you to a refund of any prepaid fees.

By IIHPL

We may suspend or terminate your access immediately, without prior notice, if you:

• Violate these Terms of Service
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Abuse our systems, staff, or other users

Upon termination, your right to use our services ceases immediately. Provisions regarding intellectual property, disclaimers, and limitation of liability survive termination.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, specifically the laws of the state of Gujarat.

Any disputes arising from these Terms or use of our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahmedabad, Gujarat, India.

For consumer disputes, you may also approach the appropriate consumer forum under the Consumer Protection Act, 2019.

Changes to These Terms

IIHPL reserves the right to modify these Terms at any time. When we make material changes:

• We will update the "Last updated" date at the top of this page
• We will notify registered users via email at least 14 days before changes take effect
• Continued use after the effective date constitutes acceptance of the new terms

We encourage you to review these Terms periodically. The most current version will always be available at this URL.

Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and any product-specific agreements, constitute the entire agreement between you and IIHPL
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights under these Terms without IIHPL's written consent
• Language: These Terms are in English. In case of conflict with any translation, the English version prevails
